Antelope Valley AI ("we," "us," or "our") provides AI-powered receptionist, lead capture, missed-call text back, and business automation services for local businesses. By accessing our website at antelopevalleyai.com or using our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services Description

Our services include but are not limited to:

• AI phone answering and call handling
• Missed-call text back automation
• Lead capture and management
• Appointment booking and scheduling
• FAQ automation and customer communication workflows
• Custom AI integrations and business automation

Service availability, features, and pricing may change. We will provide reasonable notice of material changes to active service agreements.

3. Account and Use Requirements

When using our services, you agree to:

• Provide accurate and complete information when setting up your account or submitting forms
• Maintain the confidentiality of any account credentials we provide
• Not use our services to send unsolicited messages, spam, or harassing communications
• Not attempt to interfere with, disrupt, or reverse-engineer our systems
• Comply with all applicable local, state, and federal laws, including telephone consumer protection laws (TCPA) and data privacy regulations
• Ensure your use of our AI services complies with industry-specific regulations that apply to your business

We reserve the right to suspend or terminate your access if you violate these terms or use our services in a manner that could harm us or other users.

4. AI Disclosure and Limitations

Our services use artificial intelligence to handle phone calls, respond to text messages, capture leads, and assist with customer communication. You acknowledge and agree that:

• AI responses are generated automatically and may occasionally be inaccurate or incomplete
• Our AI receptionist identifies itself as an AI assistant when interacting with callers
• You are responsible for reviewing captured lead information and following up with customers
• AI-generated responses do not constitute legal, medical, financial, or other professional advice
• We continuously work to improve accuracy but do not guarantee error-free performance
• You are responsible for providing accurate business information, scripts, and FAQ content for the AI to use

5. Data and Content Ownership

Your data: You retain full ownership of your business data, customer information, call recordings, and any content you provide to us. We process this data solely to deliver the services you have engaged us for.

Our platform: All software, website content, AI models, workflows, configurations, and intellectual property created by Antelope Valley AI remain our property. You receive a limited, non-exclusive license to use our platform for the duration of your service agreement.

Custom work: Any custom AI configurations, scripts, or workflows we build specifically for your business remain the intellectual property of Antelope Valley AI unless otherwise agreed in writing.

6. Payment and Billing

If you subscribe to a paid service plan:

• Fees are billed according to the plan and billing cycle you select
• You authorize us to charge your provided payment method on a recurring basis
• Overdue payments may result in service suspension after reasonable notice
• Refunds are handled on a case-by-case basis at our discretion

7. Service Availability

We aim to provide reliable, continuous service but do not guarantee 100% uptime. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for losses resulting from service interruptions.

8. Limitation of Liability

To the fullest extent permitted by law, Antelope Valley AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

• Lost revenue or business opportunities from missed or incorrectly handled communications
• Errors or inaccuracies in AI-generated responses
• Service interruptions or downtime
• Unauthorized access to or alteration of your data
• Actions taken by third parties using information obtained through our services

Our total liability for any claim arising from these terms or your use of our services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Antelope Valley AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

10. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination:

• We will provide you with a copy of your business data upon request, within 30 days
• Your access to the platform and dashboard will be discontinued
• Outstanding fees for services already rendered remain due

We may terminate immediately if you materially breach these terms.

11. Changes to Terms

We may update these Terms of Service from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of our services after changes are posted constitutes acceptance of the revised terms. For material changes, we will provide notice via email or through our platform.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Los Angeles County, California.
